2020 AGM

Dear Members,
Whilst the WPFC Constitution states that the Directors’ term is two years. it also requires that at the first AGM post the adoption of the new constitution that all Board members must retire, and elections are to be held for the position of all seven Directors (clause 17.2). The Constitution was adopted in July 2019; thus, this AGM is the first since that time.
 
The Constitution requires the AGM to be called 35 days prior to the holding of the AGM, and at the same time the CEO is to include a call for nominations for the election of the Directors (clause 17.7.1).
The full process for the election, nomination delivery, timelines and voting are outlined in clauses 17.7.1 to 17.7.24.
The AGM is to be held within 6 months of the financial year end, or longer as agreed to by the Commissioner (clause 18.1). Thus, we believe that the Club has plenty of time to cancel and call another AGM including an election of Directors.
 
We wish to remind members that any changes to the Board as a result of an election must be pre-approved by the WAFC as per the Loan Facility Agreement, dated 16 August 2018 (clause 14.7).
The new timeframe is as follows.
·         Nominations for board positions called for – Mon 10th February.
·         Nominations for board positions closed – Friday 21st February.
·         Annual Report to be available online and voting slips mailed out to members if
           required – Wednesday 26th February.
·         Cut-off date for board voting slips (If needed) -Friday 13th March.
·         AGM/Announcement of any election – Tuesday 24th March.
